1. ACCEPTANCE OF TERMS

By accessing, registering for, or using the BearisterAI platform ("Service"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and BearisterAI, LLC ("Company," "we," "us," or "our"), a California limited liability company.

2. DESCRIPTION OF SERVICE

BearisterAI is an AI-powered legal research and practice guide platform designed to support licensed attorneys and law students. The Service includes access to "Obie," our AI assistant, which provides legal research support, practice guidance, and document generation tools to inform and educate attorneys on possible strategies and approaches. The Service is intended as a professional tool to supplement legal research and education—it does not provide legal advice or strategic recommendations.

3. NO LEGAL ADVICE DISCLAIMER

IMPORTANT: THE SERVICE DOES NOT PROVIDE LEGAL ADVICE OR STRATEGIC RECOMMENDATIONS. The AI assistant and all content generated through the Service are for informational, educational, and research purposes only. The Service serves as a practice guide to inform and educate attorneys on possible approaches and considerations. No attorney-client relationship is created between you and BearisterAI, LLC, or any of its affiliates through your use of the Service.

You acknowledge that:

  • All outputs from the Service must be independently verified and reviewed
  • The Service is not a substitute for professional legal judgment
  • You remain solely responsible for all legal decisions and advice provided to clients
  • Attorneys must decide for themselves what is in the best interest of their client given the specific jurisdiction, court, and opposing counsel
  • You must follow applicable state bar rules, local rules, and federal rules and not rely solely on AI guidance
  • Use of AI tools in legal practice carries inherent risks that you assume
  • Any content generated by AI that you adopt becomes your own work and words, for which you bear full professional responsibility
  • You must make appropriate disclosures to clients regarding AI use in accordance with applicable local, state, and federal laws and ethical obligations

4. ELIGIBILITY AND APPROPRIATE USE

4.1 Eligible Users

The Service is intended exclusively for:

  • Licensed attorneys in good standing
  • Law students enrolled in accredited law schools
  • Legal professionals working under attorney supervision

4.2 Verification

We reserve the right to verify your eligibility and may request proof of licensing or enrollment status.

4.3 Prohibited Uses

You may not use the Service to:

  • Provide legal advice to third parties without proper licensing
  • Generate content for unauthorized practice of law
  • Violate any applicable laws or regulations
  • Circumvent usage limitations or access controls
  • Share account credentials with unauthorized users

5. SUBSCRIPTION PLANS AND PAYMENT TERMS

5.1 Subscription Tiers

The Service is offered through the following subscription plans:

  • Obie Basic ($10/month)
  • Obie Core ($20/month)
  • Obie Advanced ($40/month)
  • Obie Pro ($60/month)
  • Legal Search Engine Add-on ($150/month)

5.2 Payment and Billing

  • Subscriptions are billed monthly in advance
  • All fees are non-refundable except as expressly stated
  • Price changes will be communicated 30 days in advance
  • Failure to pay may result in service suspension or termination

5.3 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial months unless required by law
  • Refunds for technical issues will be considered on a case-by-case basis

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Company IP

All rights, title, and interest in the Service, including but not limited to software, algorithms, databases, and content, remain the exclusive property of BearisterAI, LLC and its licensors.

6.2 User Content

  • You retain ownership of content you upload to the Service
  • You grant us a limited license to process your content to provide the Service
  • You are responsible for ensuring you have rights to upload content
  • We do not claim ownership of your case files, documents, or confidential information

6.3 Generated Content

  • AI-generated outputs are provided "as-is" without warranty
  • You may use generated content subject to these Terms
  • You acknowledge outputs may not be original or unique to you

7. DATA PRIVACY AND SECURITY

7.1 Data Collection

We collect and process data as described in our Privacy Policy, which is incorporated by reference into these Terms.

7.2 File Uploads and Case Details

  • We implement industry-standard security measures for uploaded content
  • You are responsible for determining what information to upload
  • We recommend avoiding upload of highly sensitive client information
  • We cannot guarantee absolute security of transmitted or stored data

7.3 Data Retention

  • Account data is retained during active subscription
  • Data may be retained for limited periods after account termination
  • You may request data deletion subject to legal retention requirements

8. THIRD-PARTY DATA SOURCES AND AI TECHNOLOGY

8.1 AI Technology

The Service utilizes artificial intelligence technology, including but not limited to Mistral's API and other third-party AI services. AI-generated content may contain errors, inaccuracies, or outdated information. You acknowledge the limitations inherent in AI technology and agree to independently verify all AI-generated content.

8.2 Data Sources

The Service utilizes various public legal databases and web sources for legal information. We do not warrant the accuracy, completeness, or timeliness of third-party data. Changes to third-party access may affect Service functionality.

8.3 AI Reliability Disclaimer

AI technology is rapidly evolving and may produce inconsistent or incorrect results. We make no representations about the reliability, accuracy, or suitability of AI-generated content for any specific legal matter.

9. LIMITATION OF LIABILITY

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9.3 Professional Responsibility and AI Use

You acknowledge that:

  • Use of AI tools in legal practice may be subject to professional responsibility rules in your jurisdiction
  • You are solely responsible for compliance with all applicable ethical obligations
  • You must exercise independent professional judgment in reviewing and adopting any AI-generated content
  • You bear full responsibility for any AI-generated content you choose to use or present as your own work
  • You must make appropriate disclosures about AI use to clients as required by applicable laws and ethical rules
  • Failure to properly supervise or verify AI-generated content may result in professional liability or disciplinary action

10. INDEMNIFICATION

You agree to indemnify and hold harmless BearisterAI, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Any legal advice or services you provide using the Service

11. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of modified Terms.

12. SERVICE AVAILABILITY AND MODIFICATIONS

We strive to maintain Service availability but do not guarantee uninterrupted access. We reserve the right to:

  • Modify or discontinue features
  • Perform maintenance and updates
  • Suspend Service for technical or legal reasons

13. TERMINATION

13.1 Termination by You

You may terminate your account at any time through account settings or by contacting support.

13.2 Termination by Us

We may terminate or suspend your account for:

  • Violation of these Terms
  • Non-payment of fees
  • Misuse of the Service
  • Legal or regulatory requirements

13.3 Effect of Termination

Upon termination:

  • Access to the Service will cease
  • Your data may be deleted after a reasonable period
  • Accrued payment obligations remain due

14. DISPUTE RESOLUTION

14.1 Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles.

14.2 Arbitration

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, conducted in Los Angeles, California.

14.3 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration against the Company.

15. COMPLIANCE AND EXPORT CONTROLS

You agree to comply with all applicable laws, regulations, and export control requirements in your use of the Service. The Service may not be available in all jurisdictions.

16. MISCELLANEOUS

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company.

16.2 Severability

If any provision is deemed unenforceable, the remainder of these Terms shall remain in effect.

16.3 Assignment

We may assign these Terms without notice. You may not assign your rights without our written consent.

16.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
